第一章 总则

Chapter I General Provisions

第一条 为了规范公司的组织和行为，保护公司、股东、职工和债权人的合法权益，完善中国特色现代企业制度，弘扬企业家精神，维护社会经济秩序，促进社会主义市场经济的发展，根据宪法，制定本法。Article 1 This Law is enacted according to the Constitution for the purposes of regulating the organization and operation of companies, protecting the legitimate rights and interests of companies, shareholders, employees, and creditors, improving the modern enterprise system with Chinese characteristics, promoting the entrepreneurial spirit, maintaining the socialist economic order, and promoting the development of the socialist market economy第二条 本法所称公司，是指依照本法在中华人民共和国境内设立的有限责任公司和股份有限公司。Article 2 The term "company" as mentioned in this Law refers to a limited liability company or a joint stock company limited set up within the territory of the People's Republic of China according to the provisions of this Law.

第三条 公司是企业法人，有独立的法人财产，享有法人财产权。公司以其全部财产对公司的债务承担责任。

公司的合法权益受法律保护，不受侵犯。Article 3 A company is an enterprise legal person, which has independent legal person property and enjoys the right to legal person property. It shall bear the liabilities for its debts with all its property.The legitimate rights and interests of a company shall be protected by laws and may not be trespassed.............第十五章 附则Chapter XV Supplementary Provisions第二百六十五条 本法下列用语的含义：Article 265 Definitions of the following terms:（一）高级管理人员，是指公司的经理、副经理、财务负责人，上市公司董事会秘书和公司章程规定的其他人员。(1) The "senior management persons" refer to the manager, vice managers, chief financial officers, the secretary of the board of directors of a listed company, or any other persons provided in the bylaw.（二）控股股东，是指其出资额占有限责任公司资本总额超过百分之五十或者其持有的股份占股份有限公司股本总额超过百分之五十的股东；出资额或者持有股份的比例虽然低于百分之五十，但依其出资额或者持有的股份所享有的表决权已足以对股东会的决议产生重大影响的股东。(2) A "controlling shareholder" refers to a shareholder whose capital contribution occupies 50% or more in the total capital of a limited liability company or a shareholder whose stocks occupy 50% or more of the total equity stocks of a joint stock limited company or a shareholder whose capital contribution or proportion of stock is less than 50% but who enjoys a voting right according to its capital contribution or the stocks it holds is large enough to impose an big impact upon the resolution of the shareholders' meeting.（三）实际控制人，是指通过投资关系、协议或者其他安排，能够实际支配公司行为的人。(3) An "actual controller" refers to anyone who is able to hold actual control of the acts of the company by means of investment relations, agreements, or any other arrangements.（四）关联关系，是指公司控股股东、实际控制人、董事、监事、高级管理人员与其直接或者间接控制的企业之间的关系，以及可能导致公司利益转移的其他关系。但是，国家控股的企业之间不仅因为同受国家控股而具有关联关系。(4) "Connection relationship" refers to the relationship between the controlling shareholders, actual controllers, directors, supervisors, or senior management persons of a company and the enterprise directly or indirectly controlled thereby and any other relationship that may lead to the transfer of any interest of the company. However, the enterprises controlled by the state do not incur a connection relationship simply because their shares are controlled by the state.第二百六十六条 本法自2024年7月1日起施行。Article 266 This Law shall come into force on July 1, 2024.本法施行前已登记设立的公司，出资期限超过本法规定的期限的，除法律、行政法规或者国务院另有规定外，应当逐步调整至本法规定的期限以内；对于出资期限、出资额明显异常的，公司登记机关可以依法要求其及时调整。具体实施办法由国务院规定。If a company has been registered and established before this Law comes into force, and the capital contribution period exceeds the period specified by this Law, the company shall, unless otherwise provided by laws, administrative regulations, or the State Council, gradually make adjustments to ensure that the capital contribution period is not longer than the period specified in this Law. If the capital contribution period or capital contribution is abnormal, the company registration authority may require timely adjustment. The State Council shall develop specific measures.

[CLI Code] CLI.1.5185730(EN)中华人民共和国刑法修正案(十二)Amendment (XII) to the Criminal Law of the People's Republic of China一、在刑法第一百六十五条中增加一款作为第二款，将该条修改为：“国有公司、企业的董事、监事、高级管理人员，利用职务便利，自己经营或者为他人经营与其所任职公司、企业同类的营业，获取非法利益，数额巨大的，处三年以下有期徒刑或者拘役，并处或者单处罚金；数额特别巨大的，处三年以上七年以下有期徒刑，并处罚金。I. One paragraph is added in Article 165 of the Criminal Law as paragraph 2 and this article is amended to read: “Where a director, supervisor, or officer of a state-owned company or enterprise conducts a business which is similar to that of the company or enterprise where he or she holds a position by taking advantage of his or her position for his or her own account or for the account of any other person, if the amount of illicit benefits obtained by him or her is huge, the director, manager, or officer shall be sentenced to imprisonment of not more than three years or limited incarceration and a fine or be sentenced to a fine only; or if the amount of such illicit benefits is especially huge, be sentenced to imprisonment of not less than three years nor more than seven years and a fine.“其他公司、企业的董事、监事、高级管理人员违反法律、行政法规规定，实施前款行为，致使公司、企业利益遭受重大损失的，依照前款的规定处罚。”“Where any director, supervisor, or officer of any other company or enterprise commits any conduct set forth in the preceding paragraph in violation of any law or administrative regulation, causing any significant loss to the interests of the company or enterprise, he or she shall be punished in accordance with the provision of the preceding paragraph.”二、在刑法第一百六十六条中增加一款作为第二款，将该条修改为：“国有公司、企业、事业单位的工作人员，利用职务便利，有下列情形之一，致使国家利益遭受重大损失的，处三年以下有期徒刑或者拘役，并处或者单处罚金；致使国家利益遭受特别重大损失的，处三年以上七年以下有期徒刑，并处罚金：II. One paragraph is added in Article 166 of the Criminal Law as paragraph 2 and this article is amended to read: “Where any employee of a state-owned company, enterprise, or public institution falls under any of the following circumstances by taking advantage of his or her position, the employee shall be sentenced to imprisonment of not more than three years or limited incarceration and a fine or be sentenced to a fine only if any significant loss has been caused to the national interest; or be sentenced to imprisonment of not less than three years nor more than seven years and a fine if any especially significant loss has been caused to the national interest:............七、将刑法第三百九十三条修改为：“单位为谋取不正当利益而行贿，或者违反国家规定，给予国家工作人员以回扣、手续费，情节严重的，对单位判处罚金，并对其直接负责的主管人员和其他直接责任人员，处三年以下有期徒刑或者拘役，并处罚金；情节特别严重的，处三年以上十年以下有期徒刑，并处罚金。因行贿取得的违法所得归个人所有的，依照本法第三百八十九条、第三百九十条的规定定罪处罚。”VII. Article 393 of the Criminal Law is amended to read: “Where any entity offers bribes to seek any illicit benefit or offers any kickback or commission to any employee of the state in violation of the provisions issued by the state, if the circumstances are serious, the entity shall be sentenced to a fine and its directly liable executive in charge and other directly liable persons shall each be sentenced to imprisonment of not more than three years or limited incarceration and a fine; or if the circumstances are especially serious, shall each be sentenced to imprisonment of not less than three years nor more than ten years and a fine. Any person who takes possession of the illegal income obtained from bribery shall be convicted and punished in accordance with the provisions of Articles 389 and 390 of this Law.”八、本修正案自2024年3月1日起施行。VIII. This Amendment shall come into force on March 1, 2024.
